MoMorph Figmaプラグイン 利用規約

1. はじめに

株式会社Sun*（以下「Sun」または「当社」といいます）は、当社が提供するFigmaプラグイン（以下「本プラグイン」といいます）および関連ウェブサイトならびにサービス（以下総称して「本サービス」といいます）の利用条件を以下のとおり定めます。 本プラグインをインストールまたは使用することにより、お客様は本規約に同意したものとみなされます。同意いただけない場合は、本サービスをご利用いただけません。

2. サービスの説明

このプラグインを使用すると、Figmaユーザーはフレームに番号を追加したり、デザイン仕様を記述したり、オプションでその情報をGitHubに課題としてエクスポートしたりできます。 以下の2つのバージョンをご用意しています。

Essentialバージョン（無料）

  • ローカルのFigmaおよびブラウザ環境内で完全に動作します。
  • すべてのデータはプラグイン環境内にローカルに保存されます。
  • GitHubへのエクスポートはオプションです。データはブラウザからGitHubに直接送信され、当社のサーバーには送信されません。
  • Essentialバージョンは「現状有姿」で提供され、サポートや保証は提供されません。

Proバージョン（契約ベース）

  • アクセスは、当社との別途書面による契約を締結したユーザーに限定されます。
  • Proバージョンを有効化できるのは、ホワイトリストに登録されたメールアドレスのみです。
  • Proユーザーに関するすべての利用規約およびデータ処理は、本書ではなく、別途契約で定義されています。

3. 資格

本サービスをご利用いただくには、お客様の居住地域における成年年齢（通常18歳）以上である必要があります。 プラグインを使用することにより、お客様は法的拘束力のある契約を締結する法的能力を有していることを表明するものとします。

4. ライセンスの付与と制限

当社は、個人または社内業務目的で本プラグインを使用するための限定的、非独占的、譲渡不可のライセンスをお客様に付与します。 以下の行為は禁止されています。
  • 本プラグインを再販、サブライセンス、または配布すること。
  • ライセンス制限の回避を試みること、改変、リバースエンジニアリングを行うこと。
  • 有効な契約に基づき権限のない者とProアクセスを共有すること。
明示的に付与されていないすべての権利は、当社に帰属します。

5. サードパーティのサービスとデータ転送

プラグインは GitHub などのサードパーティサービスと連携し、お客様の仕様に基づいて Issue を作成します。 GitHub にデータをエクスポートする場合：
  • プラグインは、お客様の仕様データを一時的に当社のセキュアサーバーに送信し、フォーマットして GitHub API に転送します。
  • データは当社のサーバーに永続的に保存されるわけではありません。リクエストを完了するためにのみ処理されます。
  • 最小限の技術ログ（リクエストのステータスやタイムスタンプなど）がデバッグのために記録され、短期間の保存期間後に自動的に削除されます。
  • GitHub のご利用は、GitHub の利用規約およびプライバシーポリシーに準拠します。
当社は、サードパーティサービスのコンテンツ、セキュリティ、またはプライバシー保護について責任を負いません。 Essential 版は当社のサーバーにデータを送信せず、GitHub へのエクスポートはユーザーのブラウザから直接送信されます。 Google スプレッドシートへのエクスポート、翻訳、AI 支援コンテンツ生成などの Pro 機能については、ユーザーコンテンツが当社のセキュアサーバーに送信・保存され、サービス提供に必要な場合にサードパーティ API に転送される場合があります。 このようなサードパーティのサービスをご利用の場合は、当該サードパーティの利用規約およびプライバシーポリシーが適用されます。

6. ユーザーコンテンツと所有権

プラグインを使用して作成したコンテンツ（フレーム注釈や仕様テキストなど）の所有権はお客様に帰属します。 当社は、お客様のFigmaデザインデータに対するいかなる権利も主張しません。 プラグインを使用することにより、お客様は以下の事項を確認したことになります。
  • お客様は、処理するすべてのコンテンツに対する権利を保有します。
  • お客様は、違法または著作権を侵害する目的でプラグインを使用しません。

7. サポート、アップデート、免責事項

Essential版は「現状有姿」で提供され、保証は一切ありません。 プラグインにエラーがないこと、または継続的に利用可能であることを保証するものではありません。 無料版では、ユーザーサポートやメンテナンスは保証されません。 Proユーザーの場合、サポートおよび保証は別途締結される書面による契約のみに準拠します。

8. 責任の制限

法律で認められる最大限の範囲において、当社は、お客様による本サービスのご利用に起因する間接的、偶発的、または結果的な損害について一切の責任を負いません。 責任が問われる場合、その額はお客様が本サービスに対して支払った金額（該当する場合）を超えないものとします。 無料ユーザーは、本サービスが無料で提供されており、したがって責任を負わないことを承諾するものとします。

9. 終了

お客様が本規約に違反した場合、または本サービスを不正に利用した場合、当社はお客様のアクセスを停止または終了することがあります。 お客様は、Figma からプラグインをアンインストールすることにより、いつでもプラグインの使用を停止することができます。

10. 準拠法

本規約は、抵触法の原則に関わらず、Sun* Inc.の法律に準拠します。 法律で別段の定めがない限り、紛争は東京地方裁判所を第一審の専属管轄裁判所とします。

11. 規約の変更

当社は、本利用規約を随時改訂することがあります。改訂版は、新しい「最終更新日」を記載して当社ウェブサイトに掲載されます。 改訂後もプラグインを引き続きご利用いただくことで、新しい利用規約に同意したものとみなされます。

MoMorph Figma Plugin Terms of Service

1. Introduction

Welcome to Sun* Inc (“Sun*,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our Figma plugin (the “Plugin”) and related websites or services (collectively, the “Service”). By installing or using the Plugin, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of the Service

The Plugin allows Figma users to add numbering to frames, write design specifications, and optionally export that information to GitHub as issues. We offer two versions:

Essential Version (Free)

  • Works entirely within your local Figma and browser environment.
  • All data remains stored locally within the Plugin environment.
  • Exporting to GitHub is optional; data is transmitted directly from your browser to GitHub, and no data is sent to our servers.
  • The Essential version is provided “as is” and without support or warranty.

Pro Version (Contract-based)

  • Access is limited to users under a separate written agreement with the Company.
  • Only whitelisted email addresses may activate the Pro version.
  • All terms and data handling for Pro users are defined in their separate contract, not in this document.

3. Eligibility

You must be at least the age of majority in your jurisdiction (typically 18 years old) to use this Service. By using the Plugin, you represent that you are legally capable of entering into a binding agreement.

4. License Grant and Restrictions

We grant you a limited, non-exclusive, non-transferable license to use the Plugin for personal or internal business purposes. You may not:
  • Resell, sublicense, or distribute the Plugin.
  • Modify, reverse-engineer, or attempt to bypass license restrictions.
  • Share Pro access with anyone not authorized under a valid contract.
All rights not expressly granted remain with the Company.

5. Third-Party Services and Data Transmission

The Plugin integrates with third-party services such as GitHub to create issues based on your specifications. When you export data to GitHub:
  • The Plugin temporarily sends your specification data to our secure server to format and forward it to GitHub’s API.
  • The data is not stored permanently on our servers. It is processed only to complete your request.
  • Minimal technical logs (such as request status or timestamp) may be recorded for debugging and automatically deleted after a short retention period.
  • Your use of GitHub is subject to GitHub’s own Terms of Service and Privacy Policy.
We are not responsible for the content, security, or privacy practices of third-party services. The Essential version does not transmit any data to our servers, and any export to GitHub is sent directly from the user’s browser. For Pro features such as exporting to Google Sheets, translation, and AI-assisted content generation, user content may be transmitted and stored on our secure server and forwarded to third-party APIs as necessary to provide the service. Your use of such third-party services is governed by their own terms and privacy policies.

6. User Content and Ownership

You retain ownership of any content you create using the Plugin (such as frame annotations or specification text). We do not claim any rights over your Figma design data. By using the Plugin, you confirm that:
  • You have the rights to any content you process.
  • You will not use the Plugin for illegal or infringing purposes.

7. Support, Updates, and Disclaimer

The Essential version is provided “as is”, without warranty or guarantee. We do not guarantee that the Plugin will be error-free or continuously available. No user support or maintenance is guaranteed for the free version. For Pro users, support and warranties are governed exclusively by the separate written contract.

8. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. If liability is found, it shall not exceed the amount you paid for the Service (if any). Free users acknowledge that the Service is provided without charge and therefore without liability.

9. Termination

We may suspend or terminate your access if you violate these Terms or misuse the Service. You may stop using the Plugin at any time by uninstalling it from Figma.

10. Governing Law

These Terms are governed by the laws of Sun* Inc, without regard to its conflict of law principles. Any disputes will be handled in the courts of Tokyo District Court in Japan, unless otherwise required by law.

11. Changes to Terms

We may revise these Terms occasionally. Updates will be posted on our website with a new “last updated” date. Continued use of the Plugin after any change constitutes acceptance of the new Terms.
